1. Introduction and acceptance

These Terms of Service (“Terms”) govern your access to and use of the website located at https://5squarehomes.com and any associated pages, sub-domains, brochures, calculators, forms, and digital services (collectively, the “Website”), operated by 5 Square Homes (“5 Square Homes”, “we”, “us”, or “our”).

By accessing, browsing, or using the Website — including by submitting an enquiry, subscribing to our newsletter, downloading a brochure, using the ROI calculator, or contacting us via WhatsApp through the Website — you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, please do not use the Website.

These Terms constitute a binding agreement formed by electronic means. In accordance with the Electronic Transactions Act, 2011 (Uganda), information and agreements are not denied legal effect solely because they are in electronic form, and your continued use of the Website constitutes your acceptance of these Terms.

We may update these Terms from time to time (see Section 15). Your continued use of the Website after any update constitutes acceptance of the revised Terms.

5 Square Homes is a premium real estate development company based in Uganda, specialising in residential and condominium developments, smart homes, and investment-focused properties.

3. Eligibility

You must be at least 18 years of age (the age of majority in Uganda) and have the legal capacity to enter into a binding contract to use the Website for any transactional purpose, including submitting enquiries or expressing interest in purchasing a property. By using the Website, you represent and warrant that you meet these requirements. The Website is not directed at children, and we do not knowingly collect personal data from children (see our Privacy Policy).

4. Nature of the Website — information only

The Website is an informational, marketing, and lead-generation platform. It is intended to showcase our developments and projects (including, without limitation, Venue in Kyaliwajala, GIA in Lubowa, and Gaiety Place in Kyaliwajala), to allow you to learn about our offerings, and to enable you to contact us.

The Website does not process payments, accept deposits, or collect identity-verification (KYC) or financial documents. No purchase, reservation, booking, or contract for the sale of any property is made or completed through the Website. Any expression of interest submitted through the Website is an invitation to begin discussions only and does not create any binding obligation on you or on us. A binding agreement for the purchase of any unit arises only upon the execution of a separate written sale agreement (see Section 8).

5. Intellectual property

All content on the Website — including text, graphics, logos, the “5 Square Homes” name and marks, architectural renders, floor plans, photographs, videos, brochures, and the design and layout of the Website — is owned by or licensed to 5 Square Homes and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Website for your personal, non-commercial use. You may not, without our prior written consent:

  • copy, reproduce, republish, distribute, or commercially exploit any content;
  • use any automated means (including scraping, crawling, or data-harvesting) to extract content or data from the Website;
  • remove, alter, or obscure any copyright, trademark, or proprietary notice; or
  • use our name, marks, or content in any manner likely to cause confusion or to imply endorsement or affiliation.

6. Accuracy of information, prices, and availability

We make reasonable efforts to ensure the information on the Website is accurate and current. However, all information is provided for general guidance only and without warranty of any kind.

  • Prices (including those quoted in United States Dollars) are indicative, are subject to change without notice, and do not constitute an offer. Actual prices, payment terms, fees, taxes (including stamp duty), and applicable charges will be confirmed in writing during the sale process.
  • Availability of any unit or project is not guaranteed and is subject to prior sale or withdrawal at any time.
  • Renders, images, floor plans, dimensions, and visualisations are artistic impressions and illustrations only. They may differ from the final constructed product and do not form part of any contract.
  • Specifications and features may be varied by us or as required by relevant authorities, design changes, or construction realities.

7. ROI calculator and no investment or financial advice

The Website may provide tools such as an “ROI calculator” and content describing the investment potential of our developments.

5 Square Homes is a real estate developer. We are not a licensed financial adviser, investment adviser, securities dealer, or broker, and nothing on the Website constitutes financial, investment, tax, legal, or professional advice.

Any figures, projections, returns, yields, or estimates produced by the ROI calculator or presented anywhere on the Website are illustrative estimates based on assumptions only. They are not guarantees, representations, or warranties of any actual or future return, rental income, capital appreciation, or performance. Property values can fall as well as rise, and all property investment carries risk.

You should not rely on any such information when making a decision. We strongly recommend that you obtain independent professional advice from a qualified financial adviser, lawyer, and/or tax adviser, and conduct your own due diligence, before making any purchase or investment decision.

8. Property developments, off-plan sales, and forward-looking statements

Some of our developments are sold on an off-plan basis or are at the proposed, planning, or construction stage, and may be delivered in phases.

  • Any statements regarding completion dates, delivery timelines, project phases, future amenities, or planned features are forward-looking statements and estimates only. They are subject to change and depend on factors that may be outside our control (see Section 13, Force Majeure).
  • Descriptions of “proposed units” refer to units not yet constructed or completed. Nothing on the Website should be taken as a representation that any proposed unit exists in its final form.
  • The binding terms of any purchase are contained solely in the written sale agreement executed between you and 5 Square Homes, and not on the Website or in any brochure or marketing material.

Your statutory protections as a purchaser. Where you proceed to purchase a condominium unit or proposed unit, you benefit from protections under the Condominium Property Act, 2001 (Uganda) that cannot be waived or excluded by these Terms or by any sale agreement, including:

  • your right to receive, before sale, the documents specified in section 40 of that Act (including the sale agreement, proposed rules, management and recreational agreements, certificate of title, condominium plan, and details of any charge);
  • your right to rescind a sale agreement, without liability, within ten (10) days of its execution, where the required documents were not delivered to you at least ten days before execution; and
  • the requirement that purchaser monies be held in trust in accordance with section 41 of that Act.

Nothing in these Terms limits these statutory rights.

9. Acceptable use

You agree to use the Website lawfully and not to:

  • access or attempt to access any part of the Website, server, or data without authorisation;
  • introduce any virus, malware, worm, or other harmful code, or otherwise interfere with, damage, or disrupt the Website or its security;
  • attempt to intercept, modify, or destroy any data or to circumvent any security or access controls;
  • use the Website to transmit unlawful, defamatory, fraudulent, infringing, or offensive material;
  • impersonate any person or misrepresent your affiliation with any person or entity; or
  • use the Website in any way that breaches applicable law, including the Computer Misuse Act, 2011 (Uganda).

We reserve the right to investigate, suspend, or terminate your access, and to report conduct to the relevant authorities, where we reasonably believe a breach has occurred.

10. Third-party links and social media

The Website may contain links to third-party websites and to our profiles on third-party platforms (including Facebook, Instagram, LinkedIn, X, and TikTok), and may use third-party tools (such as WhatsApp). These are provided for convenience only. We do not control and are not responsible for the content, products, policies, or practices of any third party, and your use of any third-party service is governed by that third party’s own terms and privacy policy.

11. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Website and all content are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Website will be uninterrupted, secure, error-free, or free of harmful components.

Nothing in these Terms excludes or limits any warranty, right, or remedy that may not lawfully be excluded or limited under the laws of Uganda or under any mandatory consumer-protection law that applies to you.

12. Limitation of liability

To the maximum extent permitted by applicable law, 5 Square Homes and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or in connection with your use of, or inability to use, the Website or any reliance on its content, even if we have been advised of the possibility of such damages.

Nothing in this Section limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for the non-waivable protections under the Condominium Property Act, 2001, or for any other liability that cannot be excluded or limited under applicable law.

13. Force majeure

We shall not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, civil unrest, government action or regulation, changes in law, labour disputes, supply-chain or materials shortages, utility or infrastructure failures, or failures of telecommunications or internet services.

14. Indemnification

You agree to indemnify and hold harmless 5 Square Homes and its directors, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Website, or your violation of any law or third-party right.

15. Changes to these Terms

We may revise these Terms at any time by posting the updated version on the Website with a new “Last updated” date. Material changes will take effect on posting unless stated otherwise. We encourage you to review these Terms periodically. Your continued use of the Website after changes are posted constitutes your acceptance of the revised Terms.

16. Governing law and dispute resolution

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Website, are governed by and construed in accordance with the laws of Uganda.

The parties shall first attempt to resolve any dispute amicably through good-faith negotiation. Where a dispute cannot be resolved within thirty (30) days, it shall be referred to and finally resolved by arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act (Cap. 4) of Uganda, before a single arbitrator appointed by agreement of the parties or, failing agreement, by the Centre for Arbitration and Dispute Resolution (CADER). The language of the arbitration shall be English. Alternatively, the parties submit to the exclusive jurisdiction of the courts of Uganda.

Where you are a consumer resident outside Uganda, this Section does not deprive you of the benefit of any mandatory protections available to you under the law of your country of residence.

17. General

  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • Entire agreement. These Terms, together with the Privacy Policy and any executed sale agreement, constitute the entire agreement between you and us regarding the Website.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign your rights under these Terms without our consent; we may assign ours to a successor or affiliate.
  • Notices. Notices to us should be sent to the contact details in Section 2.
